1. Agreement to Terms
By accessing or using the HealR platform, website, APIs, or any other services provided by AutonomOps AI Inc. ("AutonomOps AI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to all of these Terms, you may not access or use our services. Your continued use of our services constitutes your acceptance of any updates or modifications to these Terms.
These Terms, together with our Privacy Policy, Security Policy, and any additional terms referenced herein, constitute the entire agreement between you and AutonomOps AI regarding your use of our services.
2. Description of Service
HealR is an AI-powered Site Reliability Engineering (SRE) platform that provides observability, incident detection, root cause analysis, predictive intelligence, and autonomous remediation recommendations. Our services are designed to help engineering teams, DevOps professionals, SREs, and enterprises monitor, diagnose, and resolve infrastructure and application issues.
The specific features and capabilities available to you depend on your subscription plan (Starter, Professional, Unlimited, or Enterprise). We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice, provided that material changes to paid features will be communicated in advance.
We may release beta or experimental features from time to time. These features are provided "as is" without warranties of any kind and may be changed or discontinued at our sole discretion.
3. Account Registration
To access most features of our services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date.
You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We strongly recommend enabling multi-factor authentication (MFA) for all accounts.
You are solely responsible for all activities that occur under your account, whether or not you authorized those activities. We are not liable for any loss or damage arising from your failure to comply with these security obligations.
4. Subscriptions & Billing
HealR is offered on a subscription basis with the following plans:
- Starter: Free tier with limited features and usage quotas.
- Professional: Paid tier with expanded features, priority support, and higher usage limits.
- Unlimited: Premium tier with full feature access, advanced AI capabilities, and dedicated support.
- Enterprise: Custom tier with bespoke terms, on-premise deployment options, and enterprise-grade compliance.
Billing & Payment
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are exclusive of taxes, which are your responsibility unless otherwise stated.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period.
Refunds
We offer a 14-day free trial for our Professional and Unlimited plans. If you are not satisfied with our services during the trial period, you can cancel without charge. After the trial period, fees are non-refundable except where required by applicable law.
Plan Changes
You may upgrade your plan at any time. Downgrades take effect at the start of the next billing cycle. When upgrading, you will be charged the prorated difference for the remainder of the current billing period.
5. AI-Generated Content Disclaimer
HealR uses artificial intelligence and machine learning to analyze observability data, detect anomalies, predict incidents, and generate remediation recommendations. We want to be absolutely clear about the nature and limitations of these AI-generated outputs:
- Advisory Only: All recommendations, predictions, analyses, and automated actions proposed by HealR are advisory in nature. They do not constitute professional engineering, legal, or security advice.
- No Guarantee of Accuracy: While we strive for high accuracy, AI systems are probabilistic and may produce incorrect, incomplete, or outdated outputs. You must independently verify all AI-generated insights before acting on them.
- Final Decision Authority: You retain full control and final decision-making authority over all actions taken in your infrastructure and systems. AutonomOps AI is not responsible for any actions you take (or fail to take) based on AI-generated recommendations.
- Continuous Improvement: Our AI models are continuously evolving. Outputs may change over time as models are updated and refined.
By using our services, you acknowledge and agree that you understand these limitations and will exercise appropriate judgment when relying on AI-generated content.
6. Data Ownership & Intellectual Property
Your Data
You retain full ownership of all data, content, and materials that you submit, upload, or integrate with HealR, including observability data, logs, metrics, traces, configuration data, and any other information you provide (collectively, "Your Data"). We do not claim any ownership rights in Your Data.
License to Your Data
By using our services, you grant us a limited, non-exclusive, worldwide license to access, process, and store Your Data solely for the purpose of providing, maintaining, and improving our services. This license terminates when you delete Your Data or close your account, subject to our data retention policies.
Our Intellectual Property
All rights, title, and interest in and to the HealR platform, including all software, code, algorithms, user interfaces, documentation, trademarks, logos, and service marks (collectively, "Our IP"), are and will remain the exclusive property of AutonomOps AI and its licensors. These Terms do not grant you any rights to use Our IP except as necessary to access and use our services in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our software, unless expressly permitted by us in writing.
7. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:
- Using our services for any illegal, fraudulent, or unauthorized purpose, or in any manner that violates applicable laws or regulations.
- Attempting to interfere with, disrupt, or gain unauthorized access to our servers, networks, or systems, including through hacking, password mining, or other means.
- Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of our platform or any component thereof.
- Using automated systems (bots, scrapers, crawlers) to access or extract data from our services in a manner that violates our terms or causes unreasonable load on our infrastructure.
- Uploading, transmitting, or storing any content that infringes on the intellectual property rights of others, is defamatory, obscene, or contains malware or viruses.
- Reselling, sublicensing, or commercially exploiting our services without our express written consent.
- Circumventing any rate limits, usage quotas, or access controls that we put in place.
We reserve the right to investigate and take appropriate action against anyone who violates these acceptable use provisions, including terminating accounts, removing content, and reporting violations to law enforcement authorities.
8. Confidentiality & Security
Both parties acknowledge that they may receive confidential information from the other party in the course of using our services. Each party agrees to protect the confidential information of the other party using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.
Your Security Responsibilities
You are responsible for maintaining the security of your account credentials, API keys, and any integrations you configure with HealR. You must promptly notify us of any suspected security breach or unauthorized access to your account.

9. Termination
Termination by You
You may terminate your account and stop using our services at any time by cancelling your subscription through your account settings or by contacting us. Upon termination, your access to paid features will cease at the end of the current billing period.
Termination by Us
We may suspend or terminate your access to our services at any time, with or without cause, with or without notice, including if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or posed a security risk. In cases of material breach, we may terminate your account immediately.
Effect of Termination
Upon termination, all licenses and rights granted to you under these Terms will immediately cease. We will retain Your Data in accordance with our data retention policies as described in our Privacy Policy. You may request an export of Your Data before or shortly after termination.
Sections that by their nature should survive termination will survive, including but not limited to Data Ownership, Confidentiality, Limitation of Liability, Indemnification, and Governing Law.
10. Limitation of Liability
To the maximum extent permitted by applicable law, AutonomOps AI and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use our services.
Our total liability to you for any claims arising out of or relating to these Terms or our services will not exceed the greater of:
- The amount you paid to us for the services during the 12-month period immediately preceding the event giving rise to the liability; or
- One hundred US dollars (USD $100), if you have not paid for the services.
The limitations in this section apply regardless of the legal theory on which a claim is based (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Service Level Agreements
For paid plans, we offer uptime Service Level Agreements (SLAs) as follows:
- Professional Plan: 99.5% uptime SLA
- Unlimited Plan: 99.9% uptime SLA
- Enterprise Plan: 99.99% uptime SLA
If we fail to meet the applicable SLA during a billing period, you may be eligible for a service credit as detailed in your service agreement. These credits are your sole and exclusive remedy for SLA failures.
11. Indemnification
You agree to indemnify, defend, and hold harmless AutonomOps AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of our services in violation of these Terms;
- Your violation of any applicable law or regulation;
- Your infringement of any intellectual property or other rights of any third party;
- Any content or data you submit, upload, or integrate with our services;
- Your negligence or willful misconduct.
AutonomOps AI agrees to indemnify you against any third-party claims that our platform infringes on a valid patent, copyright, or trademark, provided you promptly notify us in writing and give us control of the defense. Our sole obligation will be to either (a) obtain the right for you to continue using the affected feature, (b) modify the feature to be non-infringing, or (c) remove the feature and provide a refund of prepaid fees for the affected feature.
12. Governing Law
These Terms and any dispute arising out of or relating to them will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Any legal action or proceeding arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in San Francisco County, California, United States. You consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions will continue in full force and effect.
13. Changes to These Terms
We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify you by email or through a prominent notice on our platform at least 30 days before the changes take effect.
Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services and cancel your subscription before the changes take effect.
We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when the most recent changes were made.
